1. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into a contract in your jurisdiction.
• You must have an active EatOut AI account in good standing.
• You agree to follow these Ambassador Program Terms and the general Terms of Service.

2. How Referrals Work

• Each ambassador is assigned a unique referral code and link.
• When someone clicks your link, we attribute the referral to you for up to 30 days via a cookie on their device.
• A referral becomes "qualified" when the person creates an account.
• A referral becomes "active" when the person converts to a paid subscription that completes its trial.
• You cannot refer yourself, your own additional accounts, or members of your household.

3. Commission Structure

• You earn a recurring commission on every active paid referral for as long as that referred member maintains an active subscription.
• Commission rates may vary by tier and are listed in your Ambassador Dashboard.
• Commissions are calculated on the actual revenue received by EatOut AI (after refunds, chargebacks, and processor fees).
• Refunded payments and chargebacks reverse any commission previously earned on that payment.
• We may offer occasional bonus campaigns. Bonus rules are described inside each campaign.

4. Yearly Free-Month Reward

Ambassadors who refer at least one active paying member during the calendar year earn a free month of EatOut AI Premium, applied automatically to their next billing cycle.

• Only paid, completed-trial referrals count.
• Self-referrals, refunded members, and abusive referrals do not count.
• Free-month credits are non-transferable, non-cash, and expire 12 months after issue if unused.

5. Tier System

Ambassadors progress through tiers based on the number of active paying referrals:

• Starter — default tier on signup
• Pro — 5+ active paying referrals
• Elite — 15+ active paying referrals
• Legend — 40+ active paying referrals

Tier thresholds and benefits may change. You will be notified of meaningful changes before they take effect.

6. Payouts

• Minimum payout threshold: USD $25 (subject to change).
• Payouts are processed approximately every 30 days for balances above the minimum threshold.
• There is a clearing period of 30 days on new commissions to allow for refunds and chargebacks.
• Payouts are made through the payment method available in your Withdrawal Dashboard.
• You are responsible for providing accurate payout information. We are not liable for payouts sent to the wrong destination based on information you supplied.
• Unpaid balances may be forfeited after 24 months of account inactivity, after we make a reasonable attempt to contact you.

7. Prohibited Conduct

The following are strictly prohibited and may result in suspension, forfeiture of pending commissions, and removal from the program:

• Fake referrals or fake traffic (including bot, click farms, incentivized signups that don't intend to use the service)
• Self-referrals or referrals from accounts you control
• Commission abuse, including manipulating cookies, abusing promo codes, or stacking attribution
• Spam DMs, unsolicited bulk messaging, mass posting in groups where it isn't welcome
• Misleading health or medical claims about EatOut AI (e.g., "this app will cure diabetes")
• Misleading earnings claims (e.g., "ambassadors easily make $5,000 a month")
• Impersonation of EatOut AI, our staff, or other ambassadors
• Paid advertising that bids on EatOut AI branded keywords without prior written permission
• Coupon-site abuse, doorway pages, or other deceptive promotional methods
• Any activity that violates applicable laws or platform rules (e.g., FTC disclosure requirements, Instagram's promotional content rules)

When you promote EatOut AI to your audience, you must disclose that you may earn a commission, in line with FTC guidance.

8. Suspension & Forfeiture

EatOut AI may, at its sole discretion:

• Suspend or terminate any ambassador account that violates these terms or any applicable law
• Withhold or claw back commissions earned through prohibited behavior
• Invalidate referrals attributed through fraud, bots, or unauthorized incentives
• Permanently ban ambassadors who repeatedly or seriously abuse the program

9. Taxes

You are solely responsible for any taxes owed on commissions you earn. We may issue tax forms (such as a U.S. 1099-NEC) when required, and you agree to provide accurate tax information when requested.

10. Brand & Health Claims

• You may use the EatOut AI name and logos to promote the service in good faith, in formats consistent with our brand guidelines.
• You may NOT claim that EatOut AI provides medical advice or treats any condition.
• You may NOT imply you are an employee or official representative of EatOut AI unless authorized in writing.

11. Changes to the Program

We may modify commission rates, payout thresholds, tier requirements, or other program rules. Material changes will be communicated by email or in-app notice. Continued participation after the effective date constitutes acceptance.

12. Leaving the Program

You can leave the ambassador program at any time by emailing support@eatoutai.com or by deleting your account. Any pending earnings that meet the minimum payout threshold will be processed on the next regular payout cycle. Earnings below the threshold may be forfeited.
